Bij de<strong> \u2018gewone\u2019 splitsing<\/strong> wordt de vennootschap opgeheven en opgedeeld in twee nieuwe (of bestaande) vennootschappen. Bij de <strong>\u2018parti\u00eble\u2019 splitsing<\/strong> blijft de vennootschap w\u00e9l bestaan, maar een deel van het actief en het passief wordt overgeheveld naar een nieuwe (of bestaande) vennootschap.<\/span><span data-ccp-props=\"{\"201341983\":0,\"335559738\":120,\"335559739\":120,\"335559740\":259}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">Bij de <strong>\u2018gewone\u2019 splitsing<\/strong> moet er voor de opgeheven vennootschap beslist worden wat er gebeurt met het verleden, de zogenaamde anterioriteit.\u00a0 Er zijn twee opties: je neemt het verleden op in de nieuwe beroepsaansprakelijkheidsverzekering van de nieuwe vennootschap(pen) of je betaalt in \u00e9\u00e9n keer voor het verleden (posterioriteit afkopen).<\/span><span data-ccp-props=\"{\"201341983\":0,\"335559738\":120,\"335559739\":120,\"335559740\":259}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">De berekening van de <\/span><b><span data-contrast=\"none\">afkoop van de<\/span><\/b> <b><span data-contrast=\"none\">posterioriteit<\/span><\/b><span data-contrast=\"none\"> van jouw abonnementspolis wordt geregeld in de algemene polisvoorwaarden. Vaak is dat X aantal keer de gemiddelde premie van X aantal voorgaande verzekeringsjaren (afhankelijk van verzekeraar tot verzekeraar). Je betaalt dan in \u00e9\u00e9n keer voor de jaren die nog volgen en je bent gerust. Er zal enkel nog een vrijstelling te betalen zijn bij schade.<\/span><span data-ccp-props=\"{\"201341983\":0,\"335559738\":120,\"335559739\":120,\"335559740\":259}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">Maar het kan dus ook anders. (Minstens) \u00e9\u00e9n van de voormalige vennoten kan opteren om de bestaande polis over te nemen met de nieuwe vennootschap. Dat kan positieve en negatieve gevolgen hebben. Enerzijds geniet je van het reeds opgebouwde premievolume en anderzijds kan een nieuw en zwaar schadedossier met betrekking tot een project van de opgeheven vennootschap dan jouw premievoet ongunstig be\u00efnvloeden.<\/span><span data-ccp-props=\"{\"201341983\":0,\"335559738\":120,\"335559739\":120,\"335559740\":259}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">Bij een <strong>parti\u00eble splitsing<\/strong> blijft de vennootschap bestaan en is er dus geen probleem inzake posterioriteit, al kan het soms toch opportuun zijn om met een nieuwe lei te beginnen en de posterioriteit af te kopen. Over de financiering van de posterioriteit kan je dan afspraken maken met jouw voormalige venno(o)t(en).<\/span><span data-ccp-props=\"{\"201341983\":0,\"335559738\":120,\"335559739\":120,\"335559740\":259}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">Naast het verleden moeten er ook afspraken gemaakt worden over de lopende projecten. Aan het contract met de bouwheer moet er een addendum worden gehecht waarin bepaald wordt wie het project overneemt. Ook moet hierin de aansprakelijkheid van de betrokken partijen worden afgelijnd zodat het voor hen duidelijk is hoe zij het project in de toekomst moeten aangeven in hun jaaraangifte. Het kan bijvoorbeeld gaan om een volledige opdracht of om een gedeeltelijke opdracht, beperkttot de controle op de werken. Dan verhoogt misschien jouw premie.
